Orbita WMS — Terms, safety & legal notice

Last updated: 26 March 2026. This notice applies to information and future offerings related to the Orbita WMS module. It supplements (does not replace) the FAOS Terms of Service and Privacy Policy where applicable.

Summary: Orbita WMS is coming soon, remains under development, validation, and staged rollout preparation, and is not a default part of FAOS for every customer. No warranty of fitness for a particular purpose, no guarantee of features or release dates, and no substitute for warehouse safety, compliance, or professional judgment.

A. Product development status

Orbita WMS is in development. Capabilities described in marketing or documentation may be incomplete, experimental, or changed without notice. Software may contain defects. You should not rely on Orbita WMS for critical safety-of-life, emergency response, or sole control of physical operations until and unless we expressly agree otherwise in writing for your organization.

B. Coming soon — no GA guarantee

Orbita WMS is not generally available for unrestricted production rollout to all customers. We do not commit to a specific general-availability date. We do not guarantee that any particular feature, integration, or workflow will be delivered, or delivered by a specific time.

C. Separate module / enablement

Orbita WMS is a separate module from the core FAOS order-to-invoice offering. Use of FAOS does not automatically include Orbita WMS access. Availability may depend on separate enablement, company-level module activation, rollout stage, contractual terms, and our approval. Pricing and packaging, if offered, will be stated separately.

D. Customer verification responsibility

You remain solely responsible for verifying the accuracy and suitability of all operational outcomes, including but not limited to: inventory quantities and locations; receipts and putaway; picks, shipments, and exceptions; labels and identifiers; and records used for audit, finance, or compliance. You must maintain independent procedures (e.g. cycle counts, spot checks, supervisory review) appropriate to your risk.

E. Safety statement

Orbita WMS is not a physical safety system, emergency system, fire or security alarm, or industrial control safety layer. It does not replace training, signage, personal protective equipment, machine guarding, lockout/tagout, or other site safety measures. You are responsible for safe warehouse practices and compliance with applicable health and safety laws.

F. Security statement

No software or hosting environment is perfectly secure. You are responsible for account credentials, device security, access control, least-privilege practices, and internal policies. You should assume that security incidents can occur and plan accordingly (backups, monitoring, incident response). We implement reasonable measures but do not warrant uninterrupted or error-free operation or immunity from attack.

G. Limitation of liability

To the maximum extent permitted by applicable law, Orbita Solutions and its affiliates and suppliers disclaim liability for indirect, incidental, special, consequential, or punitive damages, and for loss of profits, revenue, data, goodwill, or business interruption, arising from or related to Orbita WMS or this notice, whether in contract, tort, or otherwise.

Where liability cannot be excluded, our aggregate liability arising from Orbita WMS (when offered) shall be limited to the greater of (a) amounts paid by you specifically for Orbita WMS in the twelve (12) months before the claim, or (b) a nominal cap if no such fees applied—except where mandatory law provides otherwise.

We are not liable for errors or delays resulting from incorrect data entry, mis-scans, misconfiguration, third-party systems, network failures, or misuse by users.

H. No professional / legal / compliance substitution

Orbita WMS does not provide legal, tax, accounting, or regulatory advice. It is not a substitute for qualified professionals or for your obligations under customs, trade, product safety, hazardous materials, labor, environmental, or industry-specific regulations. You must obtain your own advice and maintain compliance programs appropriate to your jurisdiction and operations.

Changes

We may update this notice from time to time. Continued use of FAOS or Orbita WMS (when available) after changes constitutes acceptance of the revised notice, subject to mandatory law and any separate written agreement.

I. Subscription trial, grace, and warehouse authority void (37 days)

When Orbita WMS is offered on a trial or paid subscription, a separate customer notice applies: WMS Subscription Trial & Warehouse Authority Notice (ORBITA_WMS_SUBSCRIPTION_AUTHORITY_VOID_NOTICE_V1). In summary: 30-day trial + 7-day grace (37 days). From trial day 24 through day 37, Orbita shows in-product reminders that state consequences and Due to legal policy with a link to that notice. If you do not renew before grace ends, Orbita may void or clear your company’s system warehouse authority (WMS location balances and pallet bindings). That is a software authority clearance, not a claim that Orbita physically emptied your building. After later re-subscription you may be required to complete Warehouse Rebind before normal floor execution. Renewal is your responsibility. Full text: /legal/wms-subscription-authority.
