WMS Subscription Trial & Warehouse Authority Notice
1. Scope and acceptance
This notice applies to companies that enable, trial, subscribe to, or re-subscribe to the Orbita WMS module (Desk Monitor and Floor Execution / scan flows). By enabling WMS, starting a WMS trial, continuing use during grace, or renewing after lapse, you confirm that you have read and understood this notice and the risks below. In-product banners, billing reminders, Legal Hub listing, and this URL are part of Orbita’s notice to you.
2. Trial calendar (37-day window)

Exact timestamps follow your company’s recorded trial / subscription calendar in Orbita (subscription / entitlement records). “37 days” means 30 trial + 7 grace unless a separate written order states otherwise. Reminder window days 24–37 is part of Orbita’s published notice process.
2a. In-product reminders (days 24–37) — you were notified
Orbita provides repeated on-screen notices in the Office workspace (and linked legal URL) during:
- Days 24–30 — renewal reminder while trial is still active (last 7 days of the 30-day trial);
- Days 31–37 — grace reminder after trial end.
Each reminder is designed to communicate, in plain language:
- how many days remain;
- the consequence of non-renewal (system warehouse authority void / clear; floor execution stop; Rebind on return);
- that the action is Due to legal policy, with a clickable link to this page (/legal/wms-subscription-authority).
Ignoring banners, dismissing the Office page, or failing to open the linked notice does not waive this policy. The reminder schedule plus this published URL constitute Orbita’s notice that warehouse system authority may be cleared after day 37.
3. What happens after day 37 (authority void)
If WMS is not renewed before grace ends, Orbita may take one or more of the following actions in-system:
- Void / clear WMS location stock balances and related warehouse layer records used for floor execution (receive, putaway, pick, ship, rack occupancy as implemented).
- Clear or invalidate pallet / LP bindings that depended on the prior WMS authority layer.
- Block normal WMS floor execution until you renew and complete Warehouse Rebind (where applicable).
- Leave commercial inventory records (Office / FAOS product master quantities) subject to separate commercial rules — those records are not a substitute for live WMS location authority after void.
Important clarification: “Warehouse cleared” in this notice means Orbita’s WMS system authority for your company is voided or emptied in software. It does not mean Orbita staff physically removed goods from your warehouse, nor that Orbita warrants the physical state of your site. Physical goods, third-party logistics, and on-site safety remain solely your responsibility.
4. Risks you accept if you do not renew
- Inability to run WMS scan / floor workflows (receive, putaway, pick, ship) until renewal and rebind.
- Loss of prior system location / FIFO / pallet binding continuity after void.
- Operational disruption, extra labour, and re-count / rebind effort when you return.
- Temporary mismatch between commercial quantities and warehouse execution truth until Rebind is completed.
- Any business loss arising from delayed renewal, ignored banners, or failure to complete Rebind after re-subscription — borne by you to the maximum extent permitted by law.
5. Re-subscription and Warehouse Rebind
After lapse and later renewal, Orbita may require a mandatory Warehouse Rebind (in-place re-establishment of warehouse stock authority). Rebind does not invent stock from commercial quantities alone without operator binding steps; it does not auto-relocate physical pallets. Until Rebind is completed (or product rules mark completion), normal floor execution may remain blocked. Complete Rebind from your entitled company workspace after sign-in — not from this public page.
6. Customer duties
- Monitor trial / grace end dates and renew before grace expires if you need continuous WMS authority.
- Train operators that banners and this notice are binding product conditions of WMS use.
- Maintain independent physical inventory controls (cycle counts, spot checks) appropriate to your risk.
- Complete Rebind promptly after renewal before relying on WMS for shipping or receiving.
7. No warranty; limitation
WMS trial access is provided subject to entitlement and product availability. Orbita does not warrant that trial or grace periods will be extended, that void will be delayed for courtesy, or that commercial records alone preserve warehouse execution truth. Liability limitations in the FAOS Terms of Service and Orbita WMS Terms apply to the maximum extent permitted by law, including for loss of data continuity, downtime, or rebind labour after lapse.
8. Governing law
Unless a separate written agreement states otherwise, this notice is governed by the laws of Malaysia. Venue: courts of competent jurisdiction in Kuala Lumpur, Malaysia, subject to mandatory consumer carve-outs. See also Legal Hub and Terms.
9. Changes
We may update this notice. Continued WMS enablement, trial use, or subscription after publication of an updated version constitutes acceptance, subject to mandatory law and any separate written agreement. Material updates will keep the same canonical URL where practicable.

WMS 订阅试用与仓库权限清空通知
1. 适用范围与接受
适用于启用、试用、订阅或重新订阅 Orbita WMS 的公司。启用 WMS、进入试用/宽限期、或逾期后重新订阅,即表示您已阅读并理解本通知及下列风险。产品内横幅(第 24–37 天)、账单提醒、Legal Hub 列表及本页面,均为 Orbita 向您作出的告知。

3. 第 37 天后会发生什么
- 作废/清空 WMS 库位结存及相关地仓执行层记录;
- 清除或失效依赖原权限层的托盘/LP 绑定;
- 在重新订阅并完成 Rebind 前,可阻断正常地仓扫描作业;
- 商业库存(Office/FAOS)可能仍保留,但不能替代作废后的 WMS 库位执行真相。
澄清:「仓库清空」= 贵司在 Orbita WMS 系统内的仓库权限被作废或清空;不等于 Orbita 人员搬走实体货物,亦不保证现场实物状态。
4. 未续订的风险(您已知悉)
- 无法使用 WMS 收货/上架/拣货/出货等扫描流程,直至续订并完成 Rebind;
- 先前系统内的库位/FIFO/托盘绑定连续性可能中断;
- 营运中断、额外人工与重新盘点/绑定成本;
- 商业数量与仓库执行真相短暂不一致;
- 因迟延续订、忽视通知或未完成 Rebind 所致损失,在法律允许范围内由您自行承担。
5. 重新订阅与 Rebind
逾期后重新订阅,Orbita 可要求强制完成仓库重新绑定(就地重建权限,非系统替您搬货/自动推荐移库)。完成前正常地仓作业可能保持阻断。请在登录后的已授权公司工作区内完成 Rebind,本公开页不提供入口。
6. 客户义务 · 7. 免 · 8. 准据法
您须自行关注试用/宽限期并及时续订;培训操作员;维持独立实物盘点。责任限制适用 FAOS 服务条款与 WMS 条款。除另有书面约定外,适用马来西亚法律,争议由吉隆坡有管辖权法院审理(强制性消费者管辖除外)。
