Terms & Conditions

FAOS by Orbita Solutions · Effective upon acceptance

These Terms of Service ("Terms") are a legal agreement between you (or the entity you represent) and Orbita Solutions. They govern your access to and use of FAOS ("Service"). By registering an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Nature

FAOS is a workflow and operational tracking system for order management, purchase orders, inventory, and invoicing. It is designed to assist with operational visibility and document generation.

FAOS does NOT provide accounting, tax, legal, or financial advisory services. The platform is a tool to support your operations; it is not a substitute for professional advice in those areas.

FAOS is provided on an "as-is" and "as-available" basis. We do not warrant that the platform will be uninterrupted, error-free, or free from defects. We do not guarantee that the system will meet your specific requirements or that any errors will be corrected.

The system is not guaranteed to be perfect. Use of the Service is at your own risk.

4. Financial Calculation Disclaimer

All financial calculations, cost tracking, margin outputs, invoice totals, and related figures are based on user-entered data. We do not guarantee the accuracy of any financial outputs if the underlying data is incorrect, incomplete, or outdated.

You must verify all figures before relying on them for business or compliance purposes.

We are not responsible for business decisions, outcomes, or losses arising from the Customer's use of the Service.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Orbita Solutions and its affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to:

Our total liability for any claims arising from or related to the Service shall not exceed the fees paid by the Customer for the Service in the twelve (12) months preceding the claim.

7. Service Interruption

We may perform maintenance, updates, or upgrades to the platform. Scheduled or unscheduled downtime may occur. We are not liable for any losses, damages, or inconvenience caused by service interruption, unavailability, or degradation.

9. Data Ownership

You retain full ownership of your Data. Orbita Solutions does not claim ownership of any Data you upload, create, or store within the Service. We process Data solely to provide and improve the Service, as described in our Privacy Policy.

10. Data Isolation

Each Company's Data is logically isolated from other companies. We implement technical and organizational measures designed to prevent unauthorized cross-company access. Access controls and tenant isolation are enforced at the application and database layers.

11. Termination

We may suspend or terminate the Customer's account if the Customer violates these Terms, engages in fraudulent or unlawful activity, or fails to pay applicable fees. The Customer may cancel its Subscription at any time through the Service or by contacting support.

12. Data Retention & Deletion

The Customer may export its Data during the active term of the account and, where available, within thirty (30) days after termination upon request.

After the post-termination window, Orbita Solutions may delete the Customer's Data and associated records in accordance with its retention practices. Backup copies may persist for a limited period due to operational and disaster-recovery processes.

13. No Guarantee of Business Outcome

FAOS does not guarantee any specific business outcome, profitability, cost savings, operational improvement, or performance results. Any operational or financial improvements depend on Customer implementation, internal processes, and Data accuracy.

FAOS shall not be liable for delays, interruptions, or failure to perform resulting from causes beyond reasonable control, including but not limited to:

While FAOS implements reasonable administrative, technical, and physical safeguards, no system can guarantee absolute security. FAOS does not warrant that the platform will be immune from unauthorized access, cyber threats, or security breaches.

16. Third-Party Services

The platform may integrate or rely on third-party services (including but not limited to hosting providers, email services, payment processors). FAOS is not responsible for the performance, security, or availability of third-party services.

17. Acceptance & Prohibited Use

By using FAOS, you agree to these Terms. If you disagree, do not use the Service.

You must not use the Service for illegal purposes, to harm others, or to interfere with or compromise the security or availability of the platform. Do not reverse-engineer, copy, or resell the Service without our written consent.

The Customer agrees to indemnify, defend, and hold harmless Orbita Solutions, its owners, directors, employees, and affiliates from claims, damages, liabilities, losses, or expenses arising out of:

Any dispute, controversy, or claim arising out of or relating to these Terms or use of the Service shall first be resolved through good faith negotiation. If unresolved, the dispute shall be submitted to binding arbitration in Malaysia in accordance with applicable arbitration rules. The arbitration decision shall be final and binding.

20. Class Action Waiver

To the fullest extent permitted by law, disputes shall be resolved on an individual basis. No claims may be brought as part of a class action, consolidated action, or representative proceeding.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia.

Where arbitration is not permitted by law, or where a party seeks urgent injunctive relief to protect its rights pending arbitration, the courts of Malaysia shall have jurisdiction.

22. Modifications to Terms

FAOS reserves the right to modify these Terms at any time. Continued use of the platform after changes constitutes acceptance of the updated Terms.

23. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

24. No Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision.

25. Support & No SLA

Support is provided via email on a reasonable-efforts basis. Unless explicitly agreed in writing, Orbita Solutions does not provide a guaranteed response time, uptime commitment, or service level agreement (SLA).

27. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms. The Service is intended for business use; it is not directed to consumers for personal, household, or family use.

28. Account Registration

To use the Service you must register an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us promptly of any unauthorized access or breach of security. We reserve the right to refuse registration or suspend accounts that violate these Terms or that we reasonably believe to be fraudulent or abusive.

29. Intellectual Property

FAOS, the Orbita Solutions name and logo, and all related software, documentation, designs, and content provided by Orbita Solutions are owned by Orbita Solutions or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works of the Service or any part of it, nor reverse-engineer or attempt to extract source code, except as expressly permitted by us in writing.
